By creating an account, browsing, or otherwise using the Provenir platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Platform.
2. Platform Description
Provenir is a business-to-business (B2B) platform connecting building materials and home furnishing manufacturers with designers and buyers worldwide. The Platform provides tools for product showcasing, business networking, and industry communication.
3. Account Registration
To access certain features, you must register an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. Business Qualification Verification
Certain features require business qualification verification. You agree to submit authentic business credentials. Provenir reserves the right to approve, reject, or revoke verification status at its sole discretion. Misrepresentation of business qualifications may result in immediate account termination.
5. User Content
You retain ownership of content you post on the Platform. By posting, you grant Provenir a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Platform. You are solely responsible for ensuring your content does not infringe any third-party rights.
6. Prohibited Conduct
You agree not to: post false, misleading, or fraudulent content; impersonate any person or entity; use the Platform for any unlawful purpose; interfere with or disrupt the Platform's infrastructure; scrape, crawl, or harvest data without authorization; or circumvent any access restrictions or security measures.
7. Content Moderation
All user-submitted content is subject to review. Provenir reserves the right to approve, reject, or remove any content that violates these Terms or our community guidelines. Content decisions are made at Provenir's sole discretion.
8. Intellectual Property
The Platform, including its design, logos, trademarks, and proprietary technology, is owned by Provenir and protected by applicable intellectual property laws. You may not reproduce, modify, or distribute any part of the Platform without prior written consent.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. Provenir does not guarantee the accuracy, completeness, or reliability of any content posted by users, nor does it endorse any products, services, or business relationships formed through the Platform.
10. Limitation of Liability
To the maximum extent permitted by law, Provenir shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, including but not limited to loss of profits, data, or business opportunities.
11. Termination
Provenir may suspend or terminate your account at any time for violation of these Terms or for any other reason at its sole discretion. Upon termination, your right to use the Platform ceases immediately, though certain provisions of these Terms will survive termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be resolved through friendly negotiation first, and if negotiation fails, submitted to the competent court.
13. Changes to Terms
Provenir reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.
